Download the Alaska certificate of formation which allows a limited liability company (LLC) located outside the State to function and conduct business transactions in Alaska. The fee to form this type of company is $350 and can be completed either online through the Department of Commerce, Community, and Business Development or via their paper application in Adobe PDF.
Online Filing
Step 1 – Go to This WebPage and enter the details of the company located outside of Alaska.
- Section 1 – Enter the name of the LLC. If you would like to know if it is available you may use the Business Database to verify the availability of the name.
- Section 2 – Enter the home state and the date it was organized.
- Section 3 – Enter the duration of the LLC. The most common is ‘Perpetual’.
Step 2 – Enter sections 4 and 5.
- Section 4 – Enter the purpose of the business. It is best to use the name purpose as the home state.
- Section 5 – Enter the NAICS code – See Full List.
Step 3 – Enter sections 6-8
- Section 6 – Enter the registered agent’s first and last name followed by their mailing and physical address.
- Section 7 – Enter the entity address(es)
- Section 8 – Management – Enter if the entity be managed by its members or managers.
Step 4 – Enter sections 9 and 10 and click the ‘proceed’ button on the bottom of the page.
- Section 9 – enter the officials of the company (i.e. President, Vice-President, Secretary, etc.)
- Section 10 – Enter the name of the incorporator.

Step 1 – Download Form 08-497
Step 2 – Attach the fee of $350made payable to the ‘Division of Corporations, Business and Professional Licensing’. Once the check is attached to the completed certificate they both must be sent to the following address: State of Alaska, Corporations Section, PO Box 110806, Juneau, AK 99811-0806.
